Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Review Repliers website and AI-powered review response service (the “Service”) operated by QSP LLC, a Missouri limited liability company (“Company,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Service

Review Repliers provides:

  • AI-generated responses to customer reviews for local businesses
  • Integration with Google Business Profile for automated review monitoring and response posting
  • A dashboard for managing reviews, responses, and analytics
  • Copy-to-clipboard functionality for posting responses to platforms without API integration

4. Subscription and Billing

4.1 Plans and Pricing

The Service is offered on a subscription basis. Current pricing is displayed on our website. We reserve the right to change pricing with 30 days’ advance notice to existing subscribers.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis through Stripe.
  • All fees are in U.S. dollars and are non-refundable except as required by law or as expressly stated in these Terms.
  • You authorize us to charge your payment method on file for recurring subscription fees.

4.3 Cancellation

  • Monthly plans: You may cancel at any time. Your subscription will remain active through the end of your current billing period. No refunds are provided for partial months.
  • Annual plans: You may cancel at any time. Your subscription will remain active through the end of your annual billing period. No pro-rated refunds are provided for annual plans except within the first 14 days of initial purchase.

4.4 Failed Payments

If a payment fails, we will attempt to process it again. If payment cannot be collected after reasonable attempts, we may suspend or terminate your access to the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Generate responses that contain defamatory, harassing, threatening, or discriminatory content
  • Use the Service to generate fake reviews or manipulate review platforms
  • Impersonate another person or business
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Resell, sublicense, or redistribute the Service without written permission
  • Circumvent rate limits, security measures, or access controls
  • Use automated bots or scripts to access the Service (except through our provided APIs)
  • Interfere with or disrupt the integrity or performance of the Service

6. AI-Generated Content

6.1 Nature of AI Responses

The responses generated by our Service are created by artificial intelligence. While we strive for accuracy and appropriateness, AI-generated content:

  • May not always be perfect, accurate, or appropriate for every situation
  • Should be reviewed by you before publication
  • May require editing to match your specific circumstances
  • Does not constitute professional advice (legal, medical, financial, or otherwise)

6.2 Your Responsibility

You are solely responsible for reviewing, editing, and approving all AI-generated responses before they are published. Even when using our automated Google Business Profile integration, you retain the ability to review and modify responses before they are posted. We strongly recommend reviewing all responses before publication.

6.3 Content Ownership

  • You retain ownership of all review data you submit to the Service.
  • AI-generated responses created through the Service are licensed to you for your business use.
  • We retain a limited license to use anonymized and aggregated data to improve the Service.

7. Third-Party Integrations

7.1 Google Business Profile

If you connect your Google Business Profile, you authorize us to access your business reviews and post responses on your behalf through the Google Business Profile API. You may revoke this access at any time through your Google account settings or within the Service.

7.2 Other Platforms

For platforms without API integration (Yelp, Facebook, TripAdvisor, etc.), we generate responses that you copy and post manually. We are not responsible for the policies, terms, or actions of third-party platforms.

7.3 Platform Compliance

You are responsible for ensuring that your use of AI-generated responses complies with the terms of service of each review platform where you post them. Some platforms may have policies regarding AI-generated content.

8. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the property of QSP LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated responses will be accurate, appropriate, or suitable for your specific needs
  • The results obtained from the Service will meet your expectations
  • Any errors in the Service will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEALTH BALANCE LIFE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless QSP LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your publication of AI-generated responses
  • Any content you submit to the Service
  • Your violation of any third-party rights or applicable laws

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account data after 30 days (except as required by law)
  • Provisions that by their nature should survive termination will survive, including Sections 6.2, 10, 11, 12, and 15

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or notice within the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in St. Louis, Missouri.

15.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.
  • Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, acts of government, internet failures, or third-party service disruptions.
